Terms of Service

These Terms govern your use of the JuhiAI website and AI interviewer, the JuhiAI platform (accounts, companies and billing), and the JuhiAI agents: CEO Agent, AI Product Owner and AI Accountant (each a “Service”, together the “Services”). The common sections apply to all Services; the appendices describe each Service.

1. Agreement and Acceptance

The Services are provided by JuhiAI OÜ, a private limited company registered in Estonia under registry code 17527651, with its registered office at Hundimäe tee 2, Rosma küla, Põlva vald, Põlva maakond 63221, Estonia (“JuhiAI”, “we”, “us”). By accessing or using a Service, creating an account, or clicking to accept, you agree to these Terms. If you do not agree, do not use the Services. If you use a Service on behalf of an organisation, “you” means that organisation.

2. Eligibility and Authority

The Services are intended for business use. You must be at least 18 years old and, where you act for an organisation, have authority to bind it to these Terms.

3. Accounts and Security

Some Services require an account (provided through WorkOS). You must give accurate information, keep your credentials confidential, and remain responsible for activity under your account and for the members you invite to your workspace. Notify us promptly of any unauthorised use.

4. The Services

Each Service is described in the appendices at the end of these Terms. We may update, add or remove features over time. We provide the Services on a commercially reasonable-efforts basis and do not guarantee uninterrupted or error-free operation.

5. Your Data and Content

You retain all rights in the content and data you submit, upload or connect (“Customer Data”). You grant us a worldwide, non-exclusive licence to host, process and transmit Customer Data — including through our AI providers and other subprocessors — solely to provide and improve the Services and as permitted by our Privacy Policy.

You represent and warrant that you have all rights, permissions and lawful bases necessary to provide the Customer Data and to authorise our processing of it — including invoices and vendor details, CRM contacts imported from HubSpot, and content from websites you ask us to crawl. Where Customer Data includes personal data that we process on your behalf, we process it as described in our Privacy Policy and on your instructions.

6. Acceptable Use

You agree not to:

  • Use the Services for any unlawful purpose or to facilitate unlawful acts
  • Violate any applicable laws, regulations or third-party rights, including intellectual property and data protection rights
  • Upload or connect data you do not have the right to provide, or that is unlawful, infringing or harmful
  • Harass, abuse, defame or discriminate against others
  • Submit false or misleading information
  • Interfere with, probe or circumvent the security or rate limits of the Services, or attempt to access data that is not yours
  • Use the Services to develop a competing product, or scrape or reverse engineer them except as permitted by law

7. AI Outputs and Human Oversight

The Services use artificial intelligence and can produce results that are inaccurate, incomplete or unsuitable for your situation. AI outputs are provided to assist you and are not professional accounting, tax, legal, financial or other advice. You are responsible for reviewing outputs before relying on them, and for any decisions, filings or postings you make. AI Accountant in particular is designed to operate under human supervision: you must verify extracted and classified data before it is posted or paid.

8. Third-Party Integrations

The Services connect to third-party platforms you authorise — including SmartAccounts, Merit, the Estonian Tax and Customs Board, HubSpot and Stripe. Your use of those platforms is governed by their own terms, and we are not responsible for their availability, acts or omissions. You are responsible for maintaining your rights to use them and for the credentials you provide.

9. Fees, Billing and Refunds

Paid Services are billed through Stripe against your company workspace's shared credit balance. By subscribing or purchasing credits, you authorise recurring or one-time charges for the plan you select.

  • Subscriptions renew automatically for the chosen period until cancelled; you can cancel effective at the end of the current period.
  • Fees are exclusive of VAT and other taxes, which are added where applicable based on your billing details.
  • Prepaid credits are consumed by usage and are non-refundable.
  • We may change pricing with at least 30 days notice, effective at your next renewal.
  • Late or failed payment may lead to suspension after notice. Refunds are not provided unless required by law.

10. Intellectual Property

The Services, and all software, content and trademarks we provide, are and remain our property and that of our licensors, protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription. If you give us feedback, you grant us a perpetual, royalty-free licence to use it. Customer Data remains yours.

11. Term, Suspension and Termination

You may stop using the Services and close your account at any time. We may suspend or terminate access if you breach these Terms, fail to pay, or where required by law or to protect the Services or others — with notice where reasonably practicable. On termination, your right to use the Services ends. You may export Customer Data for 30 days after termination, after which we will delete or return it as set out in our Privacy Policy, subject to legal retention obligations.

12. Disclaimers

To the fullest extent permitted by law, the Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding the accuracy or reliability of AI outputs. Some mandatory consumer or statutory rights may not be excluded and are not affected by this section.

13. Limitation of Liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data, goodwill or business interruption.

Our total aggregate liability arising out of or relating to the Services will not exceed the greater of the fees you paid us in the 12 months before the event giving rise to the claim, or €100. Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for intent or gross negligence, or for death or personal injury.

14. Indemnification

You will defend and indemnify us against third-party claims and resulting losses arising from your Customer Data, your use of the Services in breach of these Terms or applicable law, or your violation of a third party's rights.

15. Data Protection

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms. Where we process personal data on your behalf, we do so in accordance with that policy and your documented instructions.

16. Governing Law and Venue

These Terms are governed by the laws of the Republic of Estonia, without regard to conflict-of-law rules and excluding the UN Convention on Contracts for the International Sale of Goods. Disputes will be subject to the exclusive jurisdiction of the competent courts of Estonia, unless mandatory law provides otherwise.

17. Changes to These Terms

We may modify these Terms from time to time. For material changes we will provide at least 30 days notice before they take effect (for example by email or in-product notice). Continued use after the effective date constitutes acceptance.

18. Miscellaneous

  • Entire agreement. These Terms and the Privacy Policy are the entire agreement between us regarding the Services.
  • Severability. If any provision is unenforceable, the rest remains in effect.
  • Waiver. Failure to enforce a provision is not a waiver of it.
  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets.
  • Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
  • Notices. We may give notices by email or in-product; notices to us go to the contact below.

19. Service Appendices

A. JuhiAI Website and AI Interviewer

An AI interviewer that helps businesses identify automation opportunities and qualifies leads through a web conversation. Outputs are informational and do not constitute a commitment to provide services.

B. AI Accountant

Extracts and classifies supplier invoices you upload, matches accounts and tax codes, and creates vendor invoices and payments in the accounting platform you connect. It operates under your supervision; you remain responsible for the accuracy of postings, payments and statutory filings. It is not a substitute for a qualified accountant or tax advisor.

C. CEO Agent

A strategy assistant that captures your business context, drafts plans, tracks KPIs and tasks, and prepares decisions for founder approval. Its outputs are decision support, not business, legal, financial or investment advice; you remain responsible for every decision and its execution.

D. AI Product Owner

Turns customer signals into a prioritised product backlog, including website analysis, HubSpot imports, Linear sync and business-impact estimates. Estimates and prioritisations are suggestions, not guarantees of outcomes.

E. Qualifier Agent (embeddable widget)

A chat widget you may embed on websites you own or operate to qualify your visitors. You are responsible for the widget's placement, for providing any legally required notices to your visitors, and for the accuracy of your qualification profile. Widget conversations consume credits from your workspace balance based on tokens used; we may throttle or suspend widget traffic that exceeds your configured limits or appears abusive. Qualification scores and recommendations are suggestions, not guarantees.
